For Most Sellers, It\u2019s Tough Luck"},"content":{"rendered":"<p>Top-selling Atlanta-area real estate agent <a href=\"https:\/\/www.homelight.com\/agents\/glennda-l-baker-ga-163632\">Glennda Baker<\/a> was ecstatic when her listing attracted an offer after only one day of being on the market. \u201cThese people had bid over the list price, and their financing was very strong,\u201d Baker recalls. Sounds like a seller\u2019s dream!<\/p>\n<p>The offer came with a tight deadline for the following day, so under pressure, Baker\u2019s seller client decided to go ahead and accept it. However, 24 hours later \u2014 and because the universe loves to play little jokes on us \u2014 the seller received a \u201csubstantially better offer\u201d than the one they signed a day earlier.<\/p>\n<p>This created a major dilemma that you, too, are wondering about: Can a seller accept another offer while under contract? As in, can you tell the first buyer: \u201cJust kidding!\u201d especially if you just accepted the offer recently?<\/p>\n<p>According to real estate attorneys, one of the top reasons sellers want to <a href=\"https:\/\/www.homelight.com\/blog\/can-seller-back-out-real-estate-contract\/\">back out of their real estate contract<\/a> is because they\u2019ve received a higher offer. It\u2019s pretty common! Unfortunately in the world of real estate contracts, though, it\u2019s typically \u201cno take backs\u201d for the seller, even if a shinier offer comes along.<\/p>\n<p>That\u2019s why it\u2019s critical to know exactly what you\u2019re signing before you sign it. You also need to know your options for accepting backup offers when appropriate, and what happens if you get \u201clucky\u201d \u2014 i.e., the deal falls through with your original buyer for reasons outside your control. The truth is: Purchase contracts favor the buyer heavily with little escape clauses called <a href=\"https:\/\/www.homelight.com\/blog\/how-to-remove-contingencies\/\">contingencies<\/a>. These loopholes essentially allow the buyer to back out of the deal without penalty if something goes wrong with <a href=\"https:\/\/www.homelight.com\/blog\/buyer-can-i-back-out-of-buying-a-house-after-inspection\/\">home inspection<\/a>, the <a href=\"https:\/\/www.homelight.com\/blog\/what-is-an-appraisal-contingency\/\">home appraisal<\/a>, or <a href=\"https:\/\/www.homelight.com\/blog\/how-often-do-contingent-offers-fall-through\/\">their own ability to get a mortgage<\/a>. No similar contingencies come standard on the seller\u2019s side.<\/p>\n<p>Backing out of a <a href=\"https:\/\/www.homelight.com\/blog\/can-seller-back-out-real-estate-contract\/\">signed real estate contract for the seller<\/a> is decidedly more complicated. If a seller wants to void the contract for any reason, they could face one or more of the following:<\/p>\n<ul>\n<li><b>The buyer can compel the seller to complete the sale.<\/b><br \/>\nIf the seller can\u2019t legally back out of the contract, they can be forced to complete the sale, aka \u201c<a href=\"https:\/\/www.lawyers.com\/legal-info\/real-estate\/residential-real-estate\/enforcing-real-estate-sales-contracts.html\">specific performance<\/a>.\u201d Refuse to sell, and you could be facing a lengthy legal battle.<\/li>\n<li><b>The buyer can sue the seller.\u00a0<\/b><br \/>\nWhen the seller has no legal ground to stand on, the buyer can <a href=\"https:\/\/www.lawyers.com\/legal-info\/real-estate\/residential-real-estate\/buyers-remedies-and-real-estate-sales-contracts.html#:~:text=Fortunately%2C%20the%20home%20buyer%20has,payment%20of%20reasonable%20expenses%2C%20and%2F\">sue for damages<\/a>, which can include anything from the cost of losing the home to legal fees.<\/li>\n<li><b>Your agent can sue you.\u00a0<\/b><br \/>\nWhen a seller tries to back out, even their agent has grounds to sue them, since they\u2019re missing out on <a href=\"https:\/\/www.homelight.com\/real-estate-agent-commissions\">commission<\/a> from the sale of the property.<\/li>\n<li><b>The buyer can have a lien put on the seller\u2019s home.\u00a0<\/b><br \/>\nA lien is basically legal speak for marking territory. If a seller voids a purchase agreement, the buyer can place a <a href=\"https:\/\/www.homelight.com\/blog\/can-seller-back-out-real-estate-contract\/\">lien<\/a> on their home, which makes it virtually impossible to sell to other buyers.<\/li>\n<li><b>Both sides will attend mediation.\u00a0<\/b><br \/>\nIn some states, when the seller tries to exit the contract without solid legal backing, both <a href=\"https:\/\/www.nar.realtor\/sites\/default\/files\/policies\/2016\/2016-DRS-Materials.pdf\">parties must attend mediation<\/a> before heading to court. This can eat away valuable time and money, for both buyer and seller.<\/li>\n<\/ul>\n<p>Bottom line? Unless the buyer backs out, the seller is obligated to go through with the home sale after the agreement is signed and executed.<\/p>\n<h2>Special circumstances<\/h2>\n<p>A seller could try including an \u201cescape hatch\u201d contingency in their contract that would allow them to back out at any time for any reason, \u201cbut finding a buyer that will accept those terms, is very, very unlikely,\u201d Baker emphasizes.<\/p>\n<p>The only proven circumstances that give sellers an out include:<\/p>\n<p><b>Contingent home sale plus kick-out clause:<\/b><\/p>\n<p>In the event the <a href=\"https:\/\/www.homelight.com\/blog\/how-to-buy-house-contingent-on-selling-yours\/#scenarioc\">buyer is trying to sell their home simultaneously<\/a>, it\u2019s not uncommon for the seller to include a provision in the purchase agreement. \u201cAnytime the buyer has a house to sell, we always put a special stipulation that the seller has the right to terminate at any time,\u201d Baker says, expounding on what\u2019s commonly referred to as the <a href=\"https:\/\/www.homelight.com\/blog\/how-to-buy-house-contingent-on-selling-yours\/\">kick-out clause<\/a>.<\/p>\n<p><b>The buyer misses a deadline:<\/b><\/p>\n<p>Purchase contracts include a ton of deadlines for buyers, but if they <a href=\"https:\/\/www.homelight.com\/blog\/can-seller-back-out-real-estate-contract\/\">don\u2019t follow through on the deliverables set for each date<\/a>, the seller typically has grounds to void the contract. For example, if a buyer misses the agreed-upon 12-day window for an appraisal, the seller could be able to back out.<\/p>\n<p><b>The buyer and seller can\u2019t reach an agreement post-inspection:\u00a0<\/b><\/p>\n<p>Let\u2019s say the home inspection report comes back with a list of recommended repairs, as it commonly does. So the buyer asks the seller to offer a credit or complete the fixes prior to closing, but negotiations lead to a gridlock. In that case (so long as the buyer penciled in an inspection contingency) the buyer could choose to walk away and collect their earnest money. At that point, the house would go back on the market and you could accept other offers.<\/p>\n<h2>So, at what point is a seller locked into a contract?<\/h2>\n<p>It might come as a surprise, but the point of no return begins early in the negotiation process. As soon as you\u2019ve signed a purchase agreement with a buyer, or made a written counteroffer, you\u2019re in the buyer\u2019s hands.<\/p>\n<p>Let\u2019s say you got an offer on your property. As you breathe a sigh of relief and start drawing up a counteroffer, another buyer swoops in with an all cash offer. The second offer might be better, but are you bound to honor the first since you\u2019re already in negotiations?<\/p>\n<p>Like lots of legal situations in real estate, it depends. If you <a href=\"https:\/\/www.homelight.com\/blog\/counter-offer-real-estate\/\">submit a counteroffer<\/a> to the first buyer <i>in writing<\/i> and they accept it, you\u2019re likely out of luck and must continue on. If you give the buyer 24 hours to respond, and you hear radio silence after a day, then you are free of those negotiations.<\/p>\n<p>However, if it\u2019s only a <i>verbal <\/i>counteroffer, it\u2019s probably not binding. You can withdraw your counter offer and pursue the all-cash offer. (Though expect some potential blowback from the buyer and their agent on going against your word).<\/p>\n<p>Some sellers might think the point of no return is signing the purchase agreement, but you start entering unethical territory the moment you start issuing counteroffers. Having a backup offer will save you from re-marketing the house to brand new buyers if your offer falls through.<\/p>\n<p>\u201cSo much can slip between the cup and the lip,\u201d says Baker.<\/p>\n<p>Baker tries to have backup offers whenever she can, but she admits they\u2019re more likely to crop up in a seller\u2019s market where inventory is limited.<\/p>\n<h2>Can a seller accept multiple offers off the bat?<\/h2>\n<p>In a dream world, a seller could say yes to every offer that crosses their path. However, with only one home to sell, it\u2019s impossible to accept more than one offer on a property. But you will want to make sure in a multiple offer scenario that you\u2019re accepting the best bid.<\/p>\n<p>When entertaining multiple offers, keep these strategies in mind when selecting which to accept:<\/p>\n<ul>\n<li><b>If there\u2019s a standout, take it. <\/b>If you\u2019re on a tight timeline and one clear offer stands out among the others, don\u2019t hesitate to take it. A <a href=\"https:\/\/www.homelight.com\/blog\/multiple-offers-on-a-house\/\">strong offer<\/a> could mean the most money, but it also could translate as a faster closing, fewer contingencies, or the strongest financing. The strategy might work best when you are working on a tight timeline and want a stress-free negotiation.<\/li>\n<li><b>Disclose offers to ignite a bidding war. <\/b>With your agent\u2019s permission, they can share the details on each competing bid, giving buyers the chance to <a href=\"https:\/\/www.homelight.com\/blog\/how-to-handle-a-bidding-war-on-house\/\">counteroffer and match or exceed the competition<\/a>. A bidding war can take time, and can even make finding a backup buyer easier. But the decision isn\u2019t always as easy as picking the highest offer.<\/li>\n<li><b>Ask for best and final offers. <\/b>If you receive multiple offers, but don\u2019t want to take the time to engage in a bidding war, you can ask buyers to send over their <a href=\"https:\/\/www.homelight.com\/blog\/multiple-offers-highest-and-best\/\">highest, best, and final offers<\/a>. The moment you start sending out counteroffers, you limit your options. This might tempt you to wait around for better offers to roll in and even question a great offer. Who wants to be tied down?<\/p>\n<p>But remember that at the end of the day \u2014\u00a0only one buyer can live in your home. It could very well be the case that your <a href=\"https:\/\/www.homelight.com\/blog\/do-you-accept-first-offer-on-a-house\/\">first offer is your best<\/a>.<\/p>\n<p>However, every transaction will be different, and that\u2019s why it\u2019s essential to work with an <a href=\"https:\/\/www.homelight.com\/?utm_content=8384527587_89560060047_c_b__9007958__439721578078&amp;utm_campaign=8384527587&amp;%7Bremtag%7D&amp;Cj0KCQjw8rT8BRCbARIsALWiOvSsNqsnG4Dwd4G_UzlbJdxuc1fmOtZ7w3ou4_fYlY9mt4-NHNwk2KAaAqivEALw_wcB&amp;utm_source=google&amp;utm_medium=cpc&amp;utm_term=%2Bhomelight&amp;gclid=Cj0KCQjw8rT8BRCbARIsALWiOvSsNqsnG4Dwd4G_UzlbJdxuc1fmOtZ7w3ou4_fYlY9mt4-NHNwk2KAaAqivEALw_wcB\">experienced agent who\u2019s seen it all<\/a>.<\/p>\n<p>For example, when Baker\u2019s seller got a great offer after they\u2019d already signed with another buyer, they weren\u2019t able to back out immediately. But because the original buyer couldn\u2019t reach an agreement with the seller after the inspection, the buyer walked away voluntarily. From there, the seller was able to accept the second, stronger offer after all without repercussions. In a way, the bad inspection was a stroke of luck for the seller.<\/p>\n<p>Still, keep in mind that once you sign a purchase agreement as a seller, you\u2019ll have a hard time backing out of the sale. It\u2019s better to wait and see whether the buyer will default on some part of the contract, or simply line up your better offer as a backup in the event a sale falls through.
